These Terms of Service (“Terms”) govern access to and use of TENDER-LENS, a product of IFUTURIX AI LABS PRIVATE LIMITED (“FuturixAI”, “we”, “us” or “our”), available at tender.futurixai.com.
TENDER-LENS is a software platform for discovering, analysing and managing public procurement opportunities and assisting businesses with the preparation of tender responses. By accessing or using TENDER-LENS, you agree to these Terms. If you use TENDER-LENS on behalf of a company or other organisation, you confirm that you are authorised to accept these Terms on its behalf.
TENDER-LENS provides tender intelligence and related software services. Depending on the product or commercial arrangement purchased by a customer, the Service may assist with tender discovery and monitoring, document analysis, bid preparation, compliance review, bid/no-bid assessment, clause analysis, corrigendum tracking, historical analysis and related procurement workflows.
The features available to a customer will depend on the applicable proposal, quotation, order form, purchase order, statement of work, enterprise agreement or other written commercial arrangement with FuturixAI (an “Order”).
TENDER-LENS is primarily intended for businesses and professional users. Certain products, including TENDER-LENS Radar, may also be made available to individual professionals or other business users.
We do not currently provide a general free trial. Access is normally provided following a demo, sales discussion or other commercial engagement with FuturixAI.
Pricing for TENDER-LENS is agreed directly with the customer and may vary depending on the scope of services, number of users, deployment, support requirements and other commercial considerations.
Unless otherwise agreed, FuturixAI will issue an invoice and payment will be made by bank transfer in accordance with the payment terms stated in the applicable Order or invoice.
The duration of access, renewal terms, payment schedule and any right to terminate or reduce the scope of the Service will be governed by the applicable Order.
There is no general right to cancel an enterprise engagement or obtain a refund once the relevant services or subscription period have commenced. Amounts paid are non-refundable unless a refund or cancellation right is expressly stated in the applicable Order or is required by law.
If an Order, Master Services Agreement or other written agreement signed by FuturixAI contains terms that conflict with these Terms, the signed agreement will prevail in relation to that customer and the subject matter of the conflict.
“Customer Content” means information, documents and other material submitted to TENDER-LENS by or on behalf of a customer. This may include tender documents, previous bids, company credentials, certificates, financial or technical information, work orders, employee information, internal notes and material used to prepare a tender response.
As between you and FuturixAI, you retain your rights in Customer Content. You grant us the limited rights necessary to host, process, analyse, reproduce and otherwise use Customer Content for the purpose of providing and securing TENDER-LENS and performing our obligations to you.
You are responsible for ensuring that you are entitled to provide Customer Content to TENDER-LENS and that its processing through the Service does not violate any applicable law, contractual obligation, confidentiality obligation or third-party right.
We do not claim ownership of Customer Content merely because it is processed through TENDER-LENS.
TENDER-LENS may process commercially sensitive material. We will use reasonable measures to protect confidential Customer Content and will not make such information public except where instructed by the customer, required to provide the Service, or required by law.
Confidential Customer Content is not intentionally used to train publicly available general-purpose AI models unless the customer has expressly agreed otherwise in writing.
We may use aggregated or de-identified technical information relating to the operation and performance of TENDER-LENS to maintain, secure and improve the Service, provided that such information does not reasonably identify the customer or disclose its confidential information.
More detailed confidentiality, security or data-processing requirements may be agreed separately with enterprise customers.
TENDER-LENS obtains and analyses information from a range of publicly accessible procurement sources, including government procurement portals, government departments, public sector undertakings, public authorities and other publicly available tender sources.
TENDER-LENS may use proprietary crawlers, software and information-retrieval systems to identify and organise this information.
The Service also uses artificial intelligence to assist with activities such as summarising tender documents, identifying eligibility requirements, extracting clauses, preparing compliance matrices, supporting bid drafting, assessing opportunities and analysing procurement information. TENDER-LENS primarily uses FuturixAI's Shivaay models and may use Google Gemini for certain functions.
These tools are intended to assist professional judgement, not replace it.
Tender information can change after it is initially published. A tendering authority may issue a corrigendum, clarification, extension, cancellation or other amendment at any time. AI-generated analysis may also contain errors, omissions or interpretations that require human review.
Accordingly, you are responsible for verifying material information against the applicable official tender portal and the complete tender documents before acting on it.
If information on TENDER-LENS conflicts with an official tender notice, corrigendum or other document issued by the relevant tendering authority, the official source will prevail.
TENDER-LENS may provide scores, recommendations, eligibility assessments, bid/no-bid analysis or similar decision-support information. Such outputs are indicative only and do not guarantee that a customer qualifies for a tender or will be awarded a contract.
TENDER-LENS does not determine eligibility or procurement outcomes. Those decisions remain with the relevant tendering authority.
TENDER-LENS currently does not autonomously submit tenders on behalf of customers. It may assist with preparing, reviewing, organising and tracking a bid, but responsibility for approving and submitting the final tender remains with the customer or its authorised representative.
You are responsible for confirming submission deadlines, eligibility criteria, required documents, EMD or bid-security requirements, signatures, certifications and other conditions applicable to a tender.
TENDER-LENS may also send reminders relating to tenders being tracked by a user. Reminders are provided as an organisational convenience and do not replace the customer's responsibility to monitor the official deadline.
We work to provide broad and useful procurement coverage, but we do not guarantee that TENDER-LENS will identify every tender, corrigendum, extension or other procurement opportunity.
Availability of source information may be affected by changes to government portals, technical failures, publication delays, access restrictions or circumstances outside our control.
TENDER-LENS is therefore a tender-intelligence tool rather than an official procurement publication service.
TENDER-LENS is an independent private product.
Unless expressly stated otherwise, FuturixAI and TENDER-LENS are not affiliated with, sponsored by, endorsed by or acting on behalf of the Government of India, any State Government, ministry, government department, PSU, procurement authority, tender portal or tendering organisation.
Names and references to government organisations, tendering authorities, portals and tender documents are used only to identify the relevant procurement information.
TENDER-LENS may also depend on third-party infrastructure or technology. We are not responsible for outages, modifications or restrictions affecting third-party or government systems that are outside our reasonable control.
You may use TENDER-LENS only for lawful business and professional purposes.
You must not use the Service to submit or prepare fraudulent information, falsify qualifications or credentials, impersonate another organisation, violate procurement law, obtain unauthorised access to systems or information, introduce malicious code, interfere with the operation of the Service or another system, circumvent access restrictions, or infringe the intellectual-property, privacy or confidentiality rights of another person.
You may not reverse engineer or attempt to extract protected source code, models, algorithms or other proprietary technology forming part of TENDER-LENS except to the extent such restriction is prohibited by applicable law.
We may restrict or suspend access if we reasonably believe TENDER-LENS is being used unlawfully or in a manner that creates a material security or legal risk.
FuturixAI and its licensors retain all rights in TENDER-LENS and its underlying software, models, technology, interfaces, workflows, retrieval systems, algorithms, design, branding and documentation.
Subject to these Terms and payment of applicable fees, you receive a limited, non-exclusive and non-transferable right to use TENDER-LENS during the period for which you are authorised to access it.
No ownership of TENDER-LENS or its underlying technology is transferred to you.
Tender documents and other third-party materials available through the Service remain subject to the rights of their respective owners.
Our handling of personal data is described in the TENDER-LENS Privacy Policy.
TENDER-LENS uses India-hosted infrastructure across FuturixAI-managed infrastructure and selected cloud providers. Depending on the deployment, these may include Ace Cloud, Amazon Web Services, Microsoft Azure and Google Cloud Platform.
We use reasonable technical and organisational measures designed to protect the Service and Customer Content. No software or internet-based service, however, can be guaranteed to be completely secure or continuously available.
We may update TENDER-LENS as the product develops, including by adding, modifying or retiring functionality. We will not use this provision to avoid commitments expressly agreed in a signed enterprise agreement.
From time to time, the Service may be unavailable because of maintenance, upgrades, network failures, third-party outages, government-portal availability, security incidents or other circumstances.
We may suspend an account where required by law, where fees remain materially overdue, where there is a significant security risk, or where the customer materially breaches these Terms or an applicable Order.
Where reasonably practicable, we will provide notice and an opportunity to address the issue before suspending a paid enterprise account.
A customer's right to terminate a paid engagement is governed by the applicable Order or enterprise agreement.
We may terminate access following a material breach that remains unresolved after reasonable notice, for unlawful use of the Service, or where continued provision of the Service would expose FuturixAI to a material legal or security risk.
Users may delete their accounts through available account controls or by contacting connect@futurexia.com.
Following account deletion, associated Customer Content may remain in a restricted recovery state for up to 30 days. After that period, the information will be deleted or rendered inaccessible from active systems, subject to information that must be retained for legal, financial, security, dispute-resolution or contractual purposes and temporary backup copies that are removed through ordinary backup cycles.
TENDER-LENS is provided as a professional decision-support and workflow tool.
While we work to maintain the quality and reliability of the Service, we do not warrant that tender information or AI-generated output will always be complete, current or error-free, or that use of TENDER-LENS will result in qualification for, submission of, or award of any tender.
Except for warranties expressly stated in an applicable signed agreement, and to the extent permitted by law, the Service is provided on an “as is” and “as available” basis.
Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded.
To the extent permitted by law, neither party will be liable to the other for indirect, incidental, special or consequential loss, or for loss of profit, revenue, business opportunity or anticipated savings arising from use of TENDER-LENS.
In particular, FuturixAI will not be liable solely because a user missed an opportunity, relied on outdated tender information, failed to identify a corrigendum, received an incorrect AI-generated interpretation, was found ineligible, missed a deadline or was unsuccessful in a tender process where the relevant information was available or capable of verification through the official tender source.
FuturixAI's aggregate liability arising out of or relating to TENDER-LENS will not exceed the fees paid or payable by the affected customer for the Service during the twelve months immediately preceding the event giving rise to the claim.
This limitation does not apply to liability that cannot legally be excluded or limited.
You will be responsible for third-party claims arising from your unlawful use of TENDER-LENS, Customer Content that you were not authorised to provide, fraudulent tender activity conducted through your account, or a material breach by you of these Terms.
This provision does not require you to indemnify FuturixAI for losses caused by FuturixAI's own unlawful conduct.
These Terms are governed by the laws of India.
The parties will first attempt in good faith to resolve any commercial dispute through discussions.
If a dispute cannot be resolved amicably, it will be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. The arbitration will be conducted by a sole arbitrator appointed in accordance with applicable law. The seat of arbitration will be New Delhi, India, and the proceedings will be conducted in English.
Subject to the arbitration provision above, courts of competent jurisdiction in New Delhi will have jurisdiction.
Either party may approach a competent court for urgent interim or injunctive relief where necessary.
We may update these Terms from time to time to reflect changes to TENDER-LENS, our business or applicable law. The current version will be published at tender.futurixai.com together with its effective date.
A material amendment to a separately signed enterprise agreement will be made in accordance with that agreement.
If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in effect. A failure to enforce a provision on one occasion will not constitute a waiver of that provision.
These Terms, together with the Privacy Policy and any applicable Order or signed enterprise agreement, constitute the agreement governing your use of TENDER-LENS.
